Position summary
The senior corporate paralegal will report to the director, legal affairs - new markets, strategic transactions & sec, and will support all aspects of investments, financings, m&a transactions and sec mattersThis is a new, high impact role in a rapidly growing business and expanding legal function, where you will be working closely with key functional group leaders, executives and senior attorneys to deliver results on strategic priorities, and help shape new processes.
Duties and responsibilities:
Support all aspects of all aspects of investments, financings, global m&a transactions and sec matters, including ndas, ancillary documents, due diligence, data room set-up and maintenance, document tracking, preparation of notices, etc.
Assist with corporate development, finance and m&a deals including managing and maintaining files, preparing and updating deal checklists/trackers, and organizing diligence update meetings with internal legal teams and outside counsel.
Collaborate with corporate development executives to project manage corporate transactions, including gathering of required project information from internal stakeholders.
Assist corporate attorneys to establish new processes, tools and templates for efficient deal execution.
Support corporate attorneys in the preparation of 10-ks, 10-qs, annual meeting and proxy materials in collaboration with internal functions.
Qualifications:
The senior corporate paralegal must have a bachelor`s degree or equivalent, and paralegal certificate.
5 to 8 years of progressive responsibility as a paralegal with recent experience supporting complex corporate deals and collaborating with experienced corporate development executives on legal due diligence.
Law firm and in-house experience with supporting corporate attorneys in connection with acquisitions, financings, investments, and strategic collaborations, as well as sec periodic reports.
Excellent written and verbal communication skills.
Excellent attention to detail, ability to handle confidential and sensitive information with discretion.
Ability to exercise sound independent judgment; excellent interpersonal skills.
Strategic thinker with the ability to formulate or contribute to creative and practical legal business solutions.
Expertise with virtual data rooms and deal management solutions.
Comprehensive computer skills including microsoft office, adobe acrobat, and docusign.

Workplace type
