What you’ll do:
The corporate attorney will operate independently to provide support for complex commercial transactionsThis role will also require the creation and maintenance of internal processes in collaboration with other departments (e.gProduct or saas operations) and supporting legal operationsSpecifically, this role will focus on drafting and negotiating highly complex domestic and international subscription-based software arrangements (primarily saas), developing strong relationships with colleagues, including sales, go-to-market teams, finance, operations and product development functionsThe candidate is expected to follow the business partner paradigm and be able to provide practical advice, have strong risk management skills, close commercial deals and collaborate with company stakeholdersDuck creek legal team is very collegial, open, and has had a work health index score in the top decile for two years running under mckinsey analytics.
Negotiate software commercial contracts, including complex saas contract for mission-critical core systems as well as professional services agreements and other related transactions
Develop a close understanding of the company’s products, services and business models
Prepare and maintain form agreements
Provide timely and practical legal advice to company business leaders, including proactively identifying areas of need and recurring issues while maintaining independence
Develop and maintain strong knowledge of applicable laws, regulations and industry guidance in the cloud computing and software industry
Ability to assist in corporate due diligence in m&a scenarios for a software company is a plus
Be ready to grow with the needs and evolution of the company
What you’ve done:
Member of a state bar in good standing
7 + years of experience with commercial and technology transactions, with a background in drafting and negotiating agreements independently
Specific experience with saas, cloud computing and enterprise software.
Privacy and data security experienced are highly valuedMust maintain a current knowledge of this areaCpo role will likely be available in the next two years for any candidates who demonstrate excellence in data privacy and security matters.
