Summary the legal counsel will be directly involved in complex business transactions with the support of external experts when applicableThe legal counsel, using innovative strategies, will provide counsel on various company-wide legal matters such as real estate management, product liability litigation, claims and warranty disputes, and contractual agreements to mitigate company liability in the course of conducting businessMain responsibilities
Serve as legal advisor to key stakeholders on commercial and business transactions in multiple jurisdictions within north america.
Review and evaluate the merits of disputes or claims made against or on behalf of the company, work with the appropriate business unit executives to define a strategic defense and approve settlements of disputes, where warranted.
Ensure consistency of contract terms with company policies and goalsSupport contractual positions across subsidiaries when possible and applicable.
Assume responsibility for ensuring that fives, incAnd its subsidiaries are compliant with current laws and regulations, client requirements, and industry best practices within the countries and states they operate.
Remote work or location at a fives business with travel as required 10%-20% domestic and international.
Education and experiences
Bachelor of law or juris doctor
Admitted to practice with a state bar in the united states
Minimum of 5 years of relevant experience
Significant experience with ucc and commercial contracting, including the negotiation of complex international contracts such as epc turnkey contracts with industrial and manufacturing companies.
Broad, overview experience in intellectual property law including licensing of ip rights and cooperation agreements.
Exposure to and/or familiarity with the conflict of laws, international law, agency and distribution, securities, antitrust, and privacy.
Litigation and dispute resolution experience is preferred.
Proficiency in english and preferred conversational knowledge of french
