Personalis is a rapidly growing cancer genomics company transforming the development of next-generation therapies by providing more comprehensive molecular data about each patient`s cancer and immune responseOur immunoid next platform® is enabling the development of next generation immuno-oncology therapeutics and diagnostics.
Summary:
We are looking for a commercial and compliance counsel who will provide legal advice and support for commercial, compliance, and corporate matters globallySuccessful candidates will have demonstrable skills in commercial legal work, including drafting and negotiating agreementsCandidates will preferably have a strong understanding of working with chinese companies, including with compliance mattersThis role will report to the company`s general counsel.
Responsibilities:
Providing legal advice and support in a wide range of regulatory, compliance and investigation matters globally (e.g., china), including:
Integrating with the personalis team and working closely with the general counsel and vice president of intellectual property to support company initiatives.
Advise clients on complex deal structures, contractual legal issues and risk, company approval processes, company policies and procedures, and negotiation strategies.
Review, draft, and negotiate a broad range of agreements to meet the diverse needs of the teamIncludes master service agreements, statements of work, licensing, collaboration, clinical study, data use, co-development, strategic partnerships, supply/manufacturing, inbound services agreements, confidentiality agreements, and more.
Respond promptly to legal requests from business clients, summarizing and communicating legal concepts that clients can understand and use.
Supporting, managing, and advising on the company`s general compliance matters and inquiries with regards to various regulations and investigations.
Providing legal insight to help the company identify and evaluate risks associated with new or complex business activities
Working closely with legal, compliance, and policy teams based globally and coordinating with different business units.
Requirements:
Jd degree, or equivalent education.
Licensed to practice law in a us jurisdiction, preferably california.
7+ years of experience in tech transactions.
Experience working with chinese companies, including familiarity with the compliance and regulatory requirements for us based companies operating in china.
Demonstrated experience in a law firm or in-house legal department providing legal support for life sciences transactions and advising science and business development teams on structuring commercial deal terms.
Strong communication skills and experience collaborating with cross-functional teams.
Ability to quickly establish credibility, respect and trust with internal clients/stakeholders and external service providers and business partners.
Strong sense of ownership, integrity and a bias for action.
Ability to read, understand, and speak mandarin is a plus.
Position is based in menlo park, ca, but remote work is a possibility.
